Please read these Terms of Service (these “Terms”) carefully. These Terms govern access to and use of the Vouchery platform and services by business customers only.
By accessing or using the Vouchery platform, APIs, dashboards, software, documentation, websites, mobile apps, or related services (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree, do not access or use the Services.
These Terms apply solely to business and enterprise customers acting in a commercial or professional capacity. Consumers are not permitted to use the Services directly.
The Services are provided by Vouchery, Inc., a Delaware corporation with its principal place of business in the United States (“Vouchery,” “we,” “us,” or “our”).

If you have entered into a separate written agreement with Vouchery (including a Master Subscription Agreement, Software License Agreement, Order Form, or Statement of Work) (a “Customer Agreement”), that agreement controls in the event of a conflict.
By using the Services, you represent and warrant that:
Vouchery provides a software-as-a-service (SaaS) platform for creating, distributing, managing, and redeeming promotional instruments (including vouchers, coupons, loyalty rewards, referrals, gift cards, and related incentives), primarily via APIs and dashboards.
The Services may evolve over time. We may add, modify, or discontinue features, provided that such changes do not materially degrade the core functionality purchased under an active subscription.
You must create an account to access the Services. You agree to provide accurate, complete, and current information and to keep it up to date.

Fees are as specified in your Order Form or subscription plan. All fees are non-refundable unless expressly stated otherwise.
Fees exclude taxes. You are responsible for all applicable taxes, except those based on Vouchery’s net income.
Free trials, pilots, and sandbox environments are provided “AS IS”, without warranties, SLAs, or availability commitments.
Vouchery may suspend or terminate trials at any time.
Vouchery retains all rights, title, and interest in:
No rights are granted except as expressly stated.
Any feedback you provide may be used by Vouchery without restriction or obligation.
The Services may integrate with third-party platforms (e.g., payment processors, POS systems). Vouchery is not responsible for third-party services and does not warrant their availability or performance.
While we aim for high availability, the Services may experience interruptions due to maintenance, upgrades, or factors beyond our control.
Service levels, if any, are governed solely by an applicable SLA.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOUCHERY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. The exclusive venue lies in state or federal courts located in Delaware, USA.
We may update these Terms from time to time. Material changes will be communicated via the Services or email. Continued use constitutes acceptance.
You may not assign these Terms without our prior written consent. Vouchery may be assigned freely.
These Terms, together with any Order Forms and incorporated policies, constitute the entire agreement regarding the Services, unless superseded by a written Customer Agreement.
